These terms apply to Founding Access memberships to The Suite by Ascendz, operated by Ascendz Digital Limited (“Ascendz”, “we”, “us”). They sit alongside our general Terms and Conditions and our Privacy Policy. Where these terms give you more than the general terms do, these terms apply.
Definitions
The Suite: the membership that gives access to our software products through one member area.
Product: any individual software application offered within The Suite, whether live now or added later. The Products at the date of these terms are Relavo, Kestry and Advoro.
Founding Access: a one time purchase of membership to The Suite under the founding offer, with no recurring membership fee.
Access Start Date: the date we first make your Founding Access available to you, or your purchase date if it is already available.
Floor Period: 3 years (36 months). For each Product, the Floor Period runs from the date that Product is first made available to you. For the pro-rata refund in clause 6, the Floor Period runs for 36 months from your Access Start Date.
Amount Paid: the total you have actually paid us for your Founding Access, whether £497 in one payment or by instalments.
Closure: we permanently stop offering the whole of The Suite to members generally. Closure does not include the events listed in clause 7.
What Founding Access includes
Founding Access is a one time purchase. You pay once and keep access to each Product for as long as we offer it, with no recurring membership fee. New Products we add to The Suite are included in your access at no additional membership fee. Access levels and included allowances are as described at the point of purchase.
Lifetime access means the lifetime of the Product
“Lifetime” means the lifetime of each Product. It does not mean any Product will be offered forever and it is not a monthly plan. Your access to a Product continues for as long as that Product is offered, subject to the minimum Floor Period in clause 4 and the wind-down and Closure provisions below.
Minimum guarantee (the Floor Period)
We guarantee each Product for a minimum of 3 years (36 months) from the date it is first made available to you. This is a floor, not a limit. We intend to offer the Products for far longer.
Retiring a single Product
We may retire an individual Product while continuing to offer the rest of The Suite. If we do:
- we will give you reasonable prior notice, of at least 30 days;
- you will be able to export your data from that Product before access ends; and
- your access to the remaining Products continues unaffected.
Because your access to the rest of The Suite continues, no refund is due when a single Product is retired.
If the whole Suite closes within the Floor Period
If Closure happens within 36 months of your Access Start Date, we will pay you a pro-rata refund, calculated as follows:
Unused Months is 36 minus the number of complete months between your Access Start Date and the Closure date. Any part month is counted in your favour as unused.
Worked examples:
- You paid £497 and Closure happens 12 months after your Access Start Date. Unused Months is 24. The refund is £497 × 24 ÷ 36, which is £331.33.
- You paid £525 by instalments and Closure happens 18 months after your Access Start Date. Unused Months is 18. The refund is £525 × 18 ÷ 36, which is £262.50.
If you are part way through an instalment plan when Closure happens, any scheduled payments not yet taken are cancelled and the refund is calculated on the Amount Paid.
After 36 months from your Access Start Date, the Floor Period is met and no refund is due on Closure.
We will contact you at the email address on your account with the Closure date and your refund amount and pay the refund to your original payment method within 30 days of Closure. One refund applies per membership.
What does not count as Closure
The following are not Closure and do not trigger a refund under clause 6:
- temporary interruptions, outages or scheduled maintenance;
- retiring an individual Product under clause 5;
- retiring or changing individual features within a Product;
- changes to usage credits or allowances, or to the price of usage beyond those allowances;
- moving a Product to replacement infrastructure or a new provider; and
- suspending or ending your access because of a breach of our Terms and Conditions.
If the business changes hands
Your Founding Access is tied to the Products, not to any individual. If we sell or transfer the business or the Products, your Founding Access and these terms transfer with them and your access continues on the same basis. We will require any buyer to honour existing Founding Access as a condition of the transfer.
Usage costs are separate
Managed AI usage and email sending beyond your included credits or allowances are charged separately at the applicable rates. They are not part of the membership fee and are not covered by this guarantee. Where stated, you may use your own AI key.
Relationship to the 14 day guarantee
The pro-rata protection in clause 6 is separate from the 14 day money back guarantee that applies at the point of purchase. The 14 day guarantee lets you decide whether The Suite is right for you shortly after buying. Clause 6 protects you if the whole Suite later closes within the Floor Period.
Your statutory rights
Nothing in these terms affects your statutory rights under UK consumer law.

Your clients’ information
The Suite keeps one record of each of your clients, built from the apps you use: who they are, how to reach them and a dated history of what has happened. That information is yours, not ours. We hold it so your apps can agree about who somebody is and for no other reason.
We will never sell it, use it to train an artificial intelligence model or contact your clients ourselves.
What we ask of you. Only put people into The Suite that you are entitled to hold information about. That matters most when you import a file: a list you bought, or one you have not touched in five years, is not something we can make lawful on your behalf.
Deleting. Removing a client removes their whole history with them, immediately. If you end your membership we delete all of it within 30 days and you can ask for a copy first.
For your clients’ information you are the data controller and we are your processor. What that means in practice, including where it is stored and who else touches it, is set out in the data processing agreement, which forms part of these terms.
